Anvika Terms of Service

Welcome to Anvika! These Terms of Service ("Terms") govern your access to and use of the Anvika lead management platform and related services (collectively, the "Service"), provided by Avinya Marketing Solution ("we", "us" or "our").

Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these terms.

1. The Service

Anvika is a B2B lead management platform designed to help clients of Avinya Marketing Solution manage business leads, contacts, deals, and related activities. The specific features and functionalities may evolve over time. Access is typically granted as part of engagement with Avinya Marketing Solution.

2. Account Registration and Security

  • You may need to register for an account to use the Service. You agree to provide accurate and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.
  • You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

3. User Responsibilities and Content

Lawful Use

You agree to use the Service only for lawful purposes and in accordance with these Terms.

Client Data

You are solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of all data and information you input or upload into the Service ("Client Data"). You represent and warrant that you have obtained all necessary rights, consents, and permissions to collect, share, and use your Client Data as contemplated by these Terms and in compliance with all applicable laws (including privacy laws).

Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose or in violation of any local, state, national, or international law
  • Upload or transmit any data that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party
  • Use the Service to send unsolicited communications (spam)
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems or networks connected to the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
  • Use automated systems to access the Service without our permission
  • Impersonate any person or entity or misrepresent your affiliation

4. Intellectual Property

The Service and its original content (excluding Client Data), features, and functionality are and will remain the exclusive property of Avinya Marketing Solution and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without our prior written consent.

You retain all ownership rights to your Client Data. You grant us a limited license to access, use, process, and display Client Data solely as necessary to provide, maintain, and improve the Service for you.

5. Subscription and Payment

Access to certain features of the Service may require a paid subscription. Subscription terms, pricing, and payment details will be provided separately. You agree to pay all fees associated with your subscription in accordance with the pricing and payment terms presented to you.

  • Subscriptions automatically renew unless cancelled
  • Fees are non-refundable except as required by law
  • We reserve the right to change pricing with advance notice

6. Termination

  • We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
  • You may terminate your account by contacting Avinya Marketing Solution.
  • Upon termination, your right to use the Service will immediately cease. We may delete your Client Data upon termination, subject to our data retention practices outlined in the Privacy Policy.
  • All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

7. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Your use of the Service is at your sole risk. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Avinya Marketing Solution does not warrant that the Service will function uninterrupted, secure, or available at any particular time or location; that any errors or defects will be corrected; or that the results of using the Service will meet your requirements.

8. Limitation of Liability

In no event shall Avinya Marketing Solution, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

This limitation applies whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

9. Indemnification

You agree to defend, indemnify, and hold harmless Avinya Marketing Solution and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice (e.g., via email or notification within the Service) prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

12. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
